In a move that could redefine private diagnostic services in Egypt, Elevate Capital and the Moharram family have signed a definitive agreement to acquire 100% of Nile Scan and Labs — one of the country’s leading diagnostic imaging and laboratory providers — in a transaction valued at approximately EGP 1 billion.

A strategic leap for integrated healthcare
The acquisition, which remains subject to customary regulatory approvals, will see Nile Scan and Labs become wholly owned by the Elevate‑Moharram consortium. The investors also confirmed plans to explore a future listing on the Egyptian Exchange (EGX) as part of a long‑term strategy to build one of the region’s leading integrated healthcare platforms.
This deal is widely seen as a game‑changer for diagnostic services in Egypt, bringing together advanced imaging, laboratory services, and AI‑powered diagnostics under a single, innovation‑driven ecosystem. The consortium’s ambition goes beyond consolidation — it aims to set new benchmarks for quality, accessibility, and technological integration across the country and into high‑growth African markets.
“This transaction marks the beginning of an important new chapter in the journey of Nile Scan and Labs. The acquisition will enable deeper integration within our healthcare ecosystem, strengthen our investments in innovation and artificial intelligence, and support expansion across Egypt and African markets.”
Moharram added that Elevate Capital’s long‑term ambition is to build one of the leading integrated healthcare groups in Egypt and Africa by bringing together diagnostics, hospitals, outpatient services, pharmacies, and specialised healthcare platforms within a single ecosystem driven by innovation, operational excellence, and sustainable growth.
From a legacy brand to a regional powerhouse
Founded nearly three decades ago by the late Hazem Moharram, Nile Scan and Labs has grown into one of Egypt’s most trusted diagnostic healthcare providers. The company serves more than 150,000 patients annually through a network of over 20 diagnostic centres nationwide and employs more than 800 medical and specialised professionals.
Following completion of the acquisition, the company will continue operating under its established brand while benefiting from closer integration with Elevate Capital’s broader healthcare portfolio, which already includes Gustave Roussy International Egypt (GRIE), New Giza University Hospital (NGUH), Nile Health Pharmacies, and a growing network of outpatient and specialised medical services.
🚀 What’s next? Expansion, AI & public listing
- ✔ Geographic growth – across Egypt and into African markets, with a focus on high‑growth regions.
- ✔ Selective acquisitions to strengthen market presence and service lines.
- ✔ AI‑powered diagnostics – expanding digital transformation and clinical excellence.
- ✔ Potential EGX listing – positioning for a public offering when market conditions become favourable.
The consortium also plans to accelerate the company’s next phase of growth through expansion across Egypt and into international markets, with a particular focus on Africa. Its strategy includes pursuing selective acquisitions, advancing digital transformation initiatives, expanding AI‑powered diagnostic capabilities, and continuing investment in clinical excellence.
A new era for Egypt’s diagnostic landscape
Industry observers believe this acquisition could reshape the competitive dynamics of Egypt’s private healthcare sector. By combining Nile Scan’s established reputation with Elevate Capital’s financial firepower and operational expertise, the new entity is well‑positioned to drive consolidation, improve service standards, and make advanced diagnostics more accessible — not only in Egypt but across the African continent.
The acquisition follows a successful partnership between Nile Scan and Labs and Misr Capital, during which the company achieved significant revenue growth, strengthened its corporate governance framework, expanded its service offerings, and reinforced its position as one of Egypt’s leading diagnostic healthcare providers.
